Uncuva Design Ltd: Terms and Conditions

1. Introduction
These Terms and Conditions (“Terms”) govern the relationship between Uncuva Design Ltd (“we”, “us”, or “our”) and you (“the Client”) for the provision of our services. By starting a project and paying the invoice containing these Terms and Conditions provided by Uncuva Design Ltd, you agree to be legally bound by all terms stated herein.
2. Scope of work
The scope of work will be detailed in a written proposal or agreement provided to the Client. Any amendments must be agreed in writing.
3. Service-Specific Conditions
3.1 Paid Advertising (Google Ads, PPC, Social Media Ads, or any other form of paid advertising)
• All paid advertising budgets and our associated management fees must be paid in advance, on a month-to-month basis.
• These payments are non-refundable under any circumstances, including if the campaign is paused, terminated early, or produces lower-than-expected results.
• Ad Spend Responsibility: Uncuva Design Ltd will not be liable for any paid advertising costs incurred directly for ad spend from the original source (e.g., Meta, Google, Bing). These costs must be paid directly by the Client to the advertising platform.
• Ad Suspension Due to Non-Payment: If an ad campaign is paused, suspended, or cancelled by the advertising platform due to unpaid ad spend, Uncuva Design Ltd will not be responsible for any resulting delays or lack of results. In such cases, the No Result No Fee Policy will not apply.
3.2 Search Engine Optimisation (SEO)
• SEO services are subject to a minimum 3-month contract with non-refundable monthly payments.
• After the initial 3-month term, the contract automatically converts to a monthly rolling agreement, which may be cancelled at any time thereafter with written notice.
3.3 Hosting Services
• While Uncuva Design Ltd can offer hosting services, we are not liable for any issues, downtime, data loss, or service interruptions related to the hosting servers.
• All hosting liability lies with the hosting service provider (e.g., Bluehost, GoDaddy, Wix, or any other hosting company).
• Any disputes, outages, or technical failures must be addressed directly with the hosting provider.
3.4 Website Design & Development
• Uncuva Design Ltd reserves the right to use plugins, themes, templates, and outsourced contractors, designers, and coders in order to complete projects.
• While such resources may be sourced externally, Uncuva Design Ltd will take full responsibility and liability for the quality, functionality, and compliance of the final deliverables.
• Any content supplied by the Client, unless otherwise specified, remains the legal property of the Client. The Client is solely responsible for ensuring that such content does not infringe any copyright or other third-party rights and agrees to indemnify Uncuva Design Ltd against any claims or liabilities arising from copyright infringement related to the content used in the Client’s project.
• Any amendments requested after completion that are not outlined within the original proposal will be at Uncuva Design Ltd’s discretion. This includes, but is not limited to, revision sets, additional layouts, additional functionality, and additional content. Such amendments will be charged separately and will not be considered part of the original project scope.
4. No Result No Fee Policy
We operate a No Result No Fee policy under the following terms:
• This policy applies only to the second month of a campaign.
If the campaign fails to achieve the agreed results during the second month:
• No fee will be charged for that month.
• 60% of the payment for that month will be refunded.
• The remaining 40% is non-refundable and will be retained to cover labour and setup costs.
4.1 Eligibility Requirements
The No Result No Fee refund is only applicable if all of the following conditions are met:
1. The campaign had a set and agreed budget with no decrease in budget size during the month.
2. The campaign was not stopped, paused, or suspended at any time during the month.
3. All necessary information, access, and approvals requested by us were provided by the Client in a timely manner.
4. No leads were generated during the month.
5. Website traffic increased by less than 30% compared to the agreed baseline.
6. Clicks increased by less than 30% compared to the agreed baseline.
4.2 Measurement of Results
All results will be measured using verifiable analytics and reporting tools agreed upon in advance between the Client and us.
5. Payment Terms
• No Setup Charges: We do not charge any setup fees for any service.
• Deposit: All projects and services require a 60% non-refundable deposit before work begins, with the remaining 40% payable immediately upon completion of the agreed work.
• Paid Advertising Budgets: For Google Ads, PPC, Social Media Ads, or other paid campaigns, the full advertising budget and our management fees must be paid in advance each month.
• Payment due dates are specified on the invoice. Late payments may incur interest as per the Late Payment of Commercial Debts (Interest) Act 1998.
6. Completion & Delivery
Completion dates will be estimated in advance. Delays caused by Client actions, lack of feedback, or changes to scope are not our responsibility.
7. Intellectual Property
All intellectual property rights in materials created by us remain our property until full payment is received, at which point they will be transferred to the Client unless otherwise stated.
8. Liability
We will not be liable for any indirect, special, or consequential losses. Our total liability will be limited to the amount paid for the services in question.
9. Termination
Either party may terminate the agreement in writing. If the Client terminates after work has commenced, all completed work to date will be invoiced and must be paid.
10. Governing Law
